Terms of Service

Welcome to Foremetrics!

Please read these Terms of Service carefully. These Terms of Service (the "Terms") govern your access to and use of the Foremetrics website, web application and related services (together, the "Service"). The Service is operated by Foremetrics, a sole proprietorship established in the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 42054682, with registered address at Le Mairekade 77, 1013 CB Amsterdam, the Netherlands ("Foremetrics", "we", "us" or "our").

By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you ("you", "your", the "User") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

2. Eligibility

To use the Service you must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, and have the legal capacity to enter into a binding contract. By using the Service you represent and warrant that you meet these requirements. We do not knowingly make the Service available to minors, and we may suspend or terminate any Account where we reasonably believe this requirement is not met.

The Service is operated from the Netherlands and is intended for users located in the European Economic Area (EEA) and the United States. We make no representation that the Service, or any of the data or content within it, is appropriate, lawful or available for use in other locations. You access the Service on your own initiative and are responsible for compliance with the laws applicable to you, including any local restrictions on the use of financial information or investment tools. We may restrict or block access from any country, in whole or in part, at our discretion.

You may not access or use the Service if you are located in, or are a resident of, any country or territory subject to a comprehensive embargo or sanctions by the European Union, the United States, the United Nations or, where applicable, the United Kingdom, or if you are on any applicable sanctions or restricted-party list. By using the Service you represent that none of these restrictions apply to you, and that you will use the Service only in compliance with these Terms and all applicable laws and regulations.

3. The Service

Foremetrics is a stock-analysis and projection tool for investors. Depending on your plan and subject to availability, the Service may include but is not limited to:

• Market news and the ability to search for stocks across stock markets;
• Lists of gainers, losers and most-active stocks, with price, daily change and percentage change, and the price and percentage change of various indices;
• A Portfolio of your acquired stocks (quantity, price and similar details) and a Watchlist of stocks you wish to follow;
• A Wealth Tracker for recording your personal net-worth snapshots and goals over time;
• Analysis features, including a stock summary (price chart, company overview, metrics and ratios, latest news), financial statements (income statement, balance sheet, cash flow and product segmentation) and related charts (e.g. revenue, gross/net margin, EPS, free cash flow);
• SEC filings, earnings (EPS and revenue history), analyst estimates and ratings, and peer comparison;
• Modelling tools, including a custom discounted-cash-flow (DCF) estimate of fair value, price projection, a forecaster and a risk analyzer that use historical data, a stock screener, stock comparison, and AI-assisted features.

The Portfolio and Watchlist are organisational tools for information you choose to enter yourself. They are not a brokerage account, custody service, trade-execution venue or official record of your holdings, and Foremetrics does not hold, custody, execute or settle any securities on your behalf. You are solely responsible for the accuracy of the data you enter.

The Service is provided for general information and educational purposes only (see clause 12). Features may be added, changed, suspended or removed at any time, and some features may depend on the availability of Third-Party Data.

Certain features, including the Forecaster and the Risk Analyzer, run locally in your web browser and use the computing resources of your own device. You are responsible for providing a compatible device, browser and internet connection. To the maximum extent permitted by law, we are not responsible for the performance of, or any impact on, your device or its resources resulting from running these or any other browser-based features of the Service.

4. Accounts and authentication

To access most features you must create an Account. Foremetrics uses Google sign-in and passwordless "magic link" authentication. Because we use these methods, we do not create or store passwords for your Account on our servers.

You are responsible for maintaining the security of the email account and any third-party login (such as your Google account) used to access the Service, and for all activity that occurs through your Account. You agree to provide accurate information, to keep it up to date, and to notify us promptly at support@foremetrics.ai if you suspect any unauthorised access. To the maximum extent permitted by law, Foremetrics is not liable for losses arising before such notification is received and acted upon. You may not share your Account or allow others to use it, and you may hold only one Account unless we agree otherwise in writing.

Providing false information, failing to maintain account security, or sharing access in violation of these Terms may result in immediate suspension or termination of your access, in accordance with clause 8.

5. Free trial

The Trial is granted automatically upon account creation. We offer a free Trial of the Service for fourteen (14) days, beginning when your Account is created. No payment information is required to start the Trial.

• You may convert from the Trial to a paid subscription at any time during the Trial via Stripe.
• Only one (1) Trial is permitted per individual and per email address. We may take reasonable measures to detect and prevent repeat or abusive Trials.
• If you do not subscribe before the end of the Trial, your access to premium features will automatically end and your Account will be downgraded to the Free Tier. Your Account and Client Data will be retained, subject to our Privacy Policy and clause 8.
• You may end your Trial at any time by ceasing to use the Service or by deleting your Account in your profile settings. No separate cancellation notice is required.

Services provided during the Trial are made available on an "as is" and "as available" basis, without any warranty, service-level guarantee or indemnification obligation, and our liability in respect of the Trial is subject to clauses 17 and 18. This does not affect any mandatory rights you have as a consumer.

6. Subscriptions, fees and billing

The Service offers a single paid tier, the "ALPHA Plan", which you may take on either a monthly or an annual billing cycle:

• Monthly: EUR 8.90 per month, billed in advance every month; and
• Annual: EUR 89.00 per year (equivalent to approximately two months free compared with the monthly price), billed in advance for a 12-month term.

The current prices and features of the ALPHA Plan are shown on the Service at the point of purchase. All Fees are processed securely through Stripe. Foremetrics currently applies the Dutch small-business scheme (kleineondernemersregeling, "KOR") and therefore does not charge Dutch VAT (BTW); the prices shown are the total amounts payable and your invoice will state that VAT is not charged under the KOR. You remain responsible for any taxes that may apply to you in your own jurisdiction. Where Stripe is unable to collect payment, we may suspend access to paid features until payment is made.

Automatic renewal. Your subscription will automatically renew on the same terms at the end of each billing cycle - monthly for the monthly plan and every 12 months for the annual plan - unless you cancel before the next renewal date in accordance with clause 8. By subscribing, you authorise us (through Stripe) to charge the applicable Fees to your chosen payment method at the start of each cycle until you cancel. We make the automatic renewal clear before you subscribe. For example, if you start a monthly subscription today and do not cancel during that month, your payment method will automatically be charged for the next month at the end of the current cycle; the same applies, on a yearly basis, to the annual plan.

Renewal of the annual plan. In accordance with Dutch law, after the initial 12-month term an annual subscription that renews automatically may be cancelled by you at any time, with a notice period of no more than one (1) month (see clauses 8 and 9). We will send you a renewal reminder by email at least one (1) month before each annual renewal, so that you have time to cancel if you wish.

Chargebacks. If you believe a charge is incorrect, please contact us first at support@foremetrics.ai so we can resolve it quickly; we ask that you do this before disputing a charge with your card issuer or bank. Initiating a chargeback in bad faith or in breach of these Terms may result in suspension or termination of your Account and recovery of the reasonable costs we incur. This does not affect any genuine right you have to dispute an unauthorised or incorrect payment.

7. Right of withdrawal

If you are a consumer resident in the European Union, you have a statutory right to withdraw from your subscription contract (whether monthly or annual) within fourteen (14) days, without giving any reason, starting on the day the paid contract is concluded. Because the Trial is free and unpaid, this 14-day period does not run during the Trial; it begins when your paid subscription starts (that is, when you convert to a paid plan or when the Trial ends and paid billing begins). The right applies each time you enter into a new paid contract, including on each annual renewal. This is in addition to your right to cancel under clause 8.

Immediate access and waiver. The Service is supplied as digital content/services. If you ask us to begin providing the paid Service during the 14-day withdrawal period, you expressly request that performance begins immediately and you acknowledge that: (a) if performance has fully completed you will lose your right of withdrawal; and (b) if you withdraw while performance is ongoing, you must pay an amount proportionate to what has been provided up to the moment you inform us of your withdrawal. We will obtain this acknowledgement at the point of purchase.

To exercise your right of withdrawal, you may use the cancellation function in your Account or the Stripe customer portal, the withdrawal button provided where required, or send a statement to support@foremetrics.ai before the period expires. You may, but do not have to, use the EU model withdrawal form. We will acknowledge your withdrawal without undue delay and reimburse any amount due within 14 days using the same payment method, unless the right has been lawfully waived as described above.

8. Cancellation and termination

By you: monthly plan. You may cancel at any time through your Account settings or the Stripe customer portal. Cancellation takes effect at the end of the current monthly billing period; you will retain access to paid features until that period ends, after which your Account is downgraded to the Free Tier. Cancellation is at least as easy as subscribing.

By you: annual plan. You may cancel at any time so that your subscription is not renewed for a further year; you will retain access until the end of the 12-month term you have paid for. In addition, in accordance with Dutch law, once an annual subscription has renewed automatically you may cancel it at any time during the renewed term with a notice period of no more than one (1) month; in that case we will refund the pro-rata unused portion of that renewed term beyond the notice period (see clause 9).

Trial. You may end your Trial at any time by ceasing to use the Service or by deleting your Account in your profile settings. No separate cancellation notice is required.

Deleting your Account. You may delete your Account at any time from your profile settings. Deleting your Account may result in the loss of your Client Data; please export anything you wish to keep first.

By us. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, use the Service unlawfully or in a way that harms the Service or other users, or where we are required to do so by law. Where reasonable and lawful, we will give you notice and an opportunity to remedy the breach. We may also discontinue the Service as a whole on reasonable prior notice.

9. Refunds

As a general rule, and except where mandatory consumer law requires otherwise, Fees are non-refundable and no pro-rated refunds are issued for unused time remaining in a billing period. When you cancel, you keep access to paid features until the end of the period you have already paid for. The following exceptions apply:

• Right of withdrawal. If you exercise your 14-day right of withdrawal under clause 7, we refund the amounts due under that clause (in full, or less a proportionate amount where you asked us to begin the Service during the withdrawal period).
• Annual plan – statutory cancellation after renewal. Where you cancel an automatically renewed annual term under Dutch law (clause 8), we refund the pro-rata unused portion of that renewed term that falls after your one-month notice period.
• Monthly plan. No refund is issued for the remainder of a monthly period after cancellation; you simply keep access until that month ends.

To request a refund or exercise your right of withdrawal, contact us at support@foremetrics.ai, stating your Account email and the charge concerned. Any refunds due are processed through Stripe to your original payment method. This does not affect your mandatory rights as a consumer.

10. Payment methods

Payments are handled by Stripe and are subject to Stripe's terms and privacy policy. We do not store your full card or bank details; these are held by Stripe. The payment methods available to you are those offered by Stripe at checkout for your region and currency, which for EUR subscriptions typically include:

• Cards: Visa, Mastercard, American Express, Discover, JCB, Diners Club and UnionPay;
• European methods: SEPA Direct Debit (most relevant for recurring EUR subscriptions), Bancontact, eps, giropay, iDEAL and Przelewy24;
• Wallets and fast checkout: Apple Pay, Google Pay and Link.

Available methods may change as Stripe updates its services. You authorise the selected method to be charged for all Fees, including automatic renewals, until you cancel. You must use a payment method you are authorised to use, and you are responsible for any fees your bank or provider charges.

11. Changes to fees

We may change our Fees from time to time. We will notify you of any price change by email at least thirty (30) days before it takes effect. The new price will apply from your next renewal after the notice period. If you do not agree to the new price, you may cancel before it takes effect in accordance with clause 8; continued use of the Service after the updated pricing takes effect constitutes acceptance of the revised Fees.

12. No financial advice, for educational use only

Foremetrics is not a financial adviser and does not hold any licence to provide financial, investment, tax or legal advice. All information, data, tools, charts, scores, estimates, projections, forecasts, fair-value figures and AI-generated outputs in the Service are provided for general information and educational purposes only. They are not, and must not be relied upon as, financial advice, investment advice, a recommendation, an offer or a solicitation to buy or sell any security or to adopt any investment strategy. AI-assisted features may produce inaccurate, incomplete or misleading results and must not be relied upon on their own; you should not enter personal, confidential or sensitive information into any AI feature.

Investing involves risk, including the possible loss of capital. Past performance and modelled or forecasted figures are not a reliable indicator of future results. You are solely responsible for your own investment decisions and should seek advice from a licensed professional and conduct your own research before making any decision. Nothing in the Service creates any advisory, fiduciary or similar relationship between you and Foremetrics.

13. Third-party data and calculations

A significant portion of the market statistics, fundamentals, news, transcripts, filings and other content displayed in the Service is Third-Party Data sourced from third-party providers, notably Financial Modeling Prep ("FMP") & CoinMarketCap ("CMC"). We do not create this data and do not control or independently verify it.

To the maximum extent permitted by law, we are not responsible or liable for the accuracy, completeness, timeliness or availability of Third-Party Data, or for any errors, omissions, delays or interruptions in it. Likewise, the calculations, formulas, models, screeners, projections, forecasts and AI features executed within the Service rely on Third-Party Data and on assumptions (including assumptions you select), and we do not warrant that any calculation, output or result is accurate, complete or suitable for any purpose. Third-Party Data and tools are provided subject to clauses 12, 17 and 18.

Base currency and FX conversion. The Service lets you choose a display currency for your Portfolio, Watchlist and other figures. Where amounts are converted from their native currency, conversion uses reference FX rates supplied by FMP and is provided for display purposes only. The converted figures are indicative, may differ from the rate at which you could actually buy, sell or exchange currency, and must not be relied upon as a transaction, execution or accounting rate.

14. Licence and acceptable use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for your own personal, non-commercial use. You agree not to:

• copy, scrape, harvest, redistribute, resell, lease, sublicense or commercially exploit the Service or any Third-Party Data, except as expressly permitted;
• circumvent any access, usage or security limits, or use bots or automated means to access the Service except as we permit;
• reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
• perform a bulk export of data, or use any data obtained through the Service to build or populate a competing product, dataset or service;
• remove, obscure or alter any proprietary notice, branding or attribution displayed in the Service;
• use the Service unlawfully, infringe others' rights, or upload malicious code; or
• use the Service or its outputs to provide regulated financial advice to third parties.

18. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for our intent or gross negligence (opzet of bewuste roekeloosheid), or any other liability that cannot be excluded under applicable mandatory law (including consumer law).

Subject to the paragraph above, and to the maximum extent permitted by law:

• we are not liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, investment losses, trading losses, loss of business, opportunities, data or goodwill, arising out of or in connection with the Service, your investment decisions, or any reliance on data, outputs, projections or AI features; and
• our total aggregate liability arising out of or in connection with the Service and these Terms is limited to the total amount you actually paid to us for the Service in the twelve (12) months preceding the event giving rise to the liability.

22. Governing law and disputes

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Netherlands. Where you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence.

The competent courts of the Netherlands have jurisdiction over any dispute, except that, where you are a consumer, you may also bring proceedings in, and may be sued only in, the courts of your country of residence to the extent required by mandatory law.
